A control acquisition if and only if led by the existing senior management team of the target company.

Management Fee
A fee charged to the limited partners of a (limited partnership) fund by the general partner.
Mandatory Conversion

A kind of conversion of convertible securities that takes place without any affirmative action of, and despite any objection or other negative action by, the holder of these convertible securities, which results in the holder receiving some other securities or assets, or both, upon conversion and the holder's rights in the converted securities, naturally, fully and forever expiring.
