     Corporations that make a proper and timely subchapter S election with the Internal Revenue Service. The purpose of making an S election is to be be taxed as a pass-through entity as specifically provided in Subchapter S of the Internal Revenue Code rather than a corporation under Subchapter C or a partnership under Subchapter K.
